CONSTITUTION AND BY-LAWS OF THE ALABAMA GUN COLLECTORS ASSOCIATION
Article I-Name
The name of this organization shall be 'The Alabama Gun Collectors
Association."
Article II-Objectives
To establish in the State of Alabama a permanent organization for the
promotion of friendship among and the mutual benefit of persons interested
in the collection, preservation and use of all types of arms and their
accessories; to arrange and hold meetings for the display and exchange of
arms and useful information for the membership; to inform members of
significant impending firearms legislation; and to uphold and promote the
highest ethical standards in all activities pertaining to the Association.
Article III- Membership
* ; Section 1. Membership is to be obtained by application on a standard
form for that purpose furnished by the Association. Applications must be
accompanied by the initial fees, including one full year's dues and must
be endorsed by two members in good standing or by one officer or one
director having personal knowledge of the applicant. The completed form
will be forwarded to the Secretary-Treasurer, who will sign a receipt for
the money and forward the application to the membership committee for
final action. Having been approved by the membership committee, any
American citizen at least 21 years of age, having no criminal record and
who has an interest in the collecting, preservation, use or study of any
type of firearm or accessories pertaining to firearms, is acceptable for a
probationary period of one year. At the conclusion of one year's time the
membership committee will determine if membership shall be permanent.
Section 2. Membership may be extended to minors under
the same regulations set forth in Section 1. Minors shall have all the
rights, privileges and benefits of any other member, including the right
to vote, except that any purchase must be made in their behalf by either
one of their parents or their legal guardian.
Section 3. Honorary membership, having all the privileges of regular
membership except the right to vote, may be granted to:
(a) Any gun collectors association or official as a reciprocal agreement.
(b) Any person who has rendered outstanding service to The Alabama Gun
Collectors Association.
(c) Any person recognized as an authority on guns, gun collecting, gun
literature or related fields.
Honorary membership may be granted for one year and renewed annually by a
majority vote of the members present at a regular meeting of the
Association.
Section 4. Life membership may be granted to all past presidents and to
any member who has been in good standing for a period of twenty
consecutive years.
Section 5. Associate membership, with privileges
to be determined by the Board of Directors, may be extended to members in
good standing of other recognized gun collectors organizations.
Article IV-Officers
Section 1. Officers shall be President, Vice President,
Secretary-Treasurer, and eight (8) Sergeants-at-Arms, each of whom shall
perform the duties usually pertaining to their respective offices.
Section 2. Secretary-Treasurer. The Secretary-Treasurer shall be appointed
annually by the Board of Directors and shall be paid a salary as
determined by the Board of Directors. The Secretary-Treasurer shall keep a
record of all meetings and notify the members of the time and place
thereof, giving at least 10 days notice to the membership of any regular
or special meeting. He shall conduct all the correspondence at the
direction of the Board of Directors and shall keep all records. He shall
issue membership cards and collect all dues or other funds paid into the
Association for any reason whatsoever. He shall keep a record of all
financial transactions and give a report at the quarterly meetings, and
submit his records for annual audit as requested by the Board of
Directors. He shall submit all bills monthly. He shall furnish a surety
bond in the amount to be determined by the Board of Directors, the premium
for which will be paid by the Association.
Article V-Board of Directors
Section 1. The Board of Directors shall consist of the regularly elected
officers, the immediate past President, and nine(9) Directors to make a
total of twenty (20). Six (6) Directors shall be elected for staggered
terms so that
the terms of two(2) shah expire annually. Two (2) Directors elected to a
term of three (3) years. The term of the immediate past President shall be
one (l) year, unless re-elected as a regular Director.
Section 2. Honorary Directors, drawn from out-of-state members who have
contributed materially to the Association may be named or removed by the
Board of Directors at any regular Directors meeting. Honorary Directors
may sit in meeting upon invitation of the Board and advise on matters
under discussion but may not vote.
* Section 3. The Board of Directors shall
determine all questions of policy and it shall in all respects be the
governing body of the Association. The Board shall meet on the call of the
President or upon the call of the majority of the Board members. For the
purposes of an official meeting a quorum shall be eleven (11) Directors.
Section 4. In the event of the resignation or death of a Director his
position shall be filled for the remainder of the current year by election
of the remaining members of the Board A permanent successor for the
balance of the unexpired term shall be elected at the next annual meeting.
Article VI-Elections
Section 1. Election of Directors and officers shall be held at the annual
meeting which will be the first meeting held after January 1st of each
year.
Section 2. Nominations shall be made for the offices of Directors,
President, Vice-President and Sergeants-at-Arms by a nominating committee
appointed by the President, but additional nominations may be made from
the floor for any or all of such offices and will be asked for by the
President. The officers shall thereupon be elected by a majority vote of
the membership present at the meeting. The officers (other than Directors
whose terms shall be governed by Article V) shall hold office for the term
of one year, but may be re-elected.
Article VII-Quorum
A quorum for a regular or special meeting shall be 25 members in good
standing.
Article VII-Rules of Order
The rules contained in "Robert's Rules of Order Newly Revised" shall
govern this Association and its meetings in all cases in which they are
applicable and which they are not in conflict with these by-laws or the
special rules of The Alabama Gun Collectors Association.
Article IX - Not engage in Keeping or Disposing of Liquors
The Association will have no right to and will not engage in the business
of selling, or keeping for sale, or otherwise disposing of any liquors,
liquids or beverages that are prohibited by the laws of Alabama to be
manufactured, sold, or otherwise disposed of in this state, and the
Association shall not permit its members to keep or store any such
prohibited Liquors or beverages at or near the premises of the Association
for use by or consumption by its members or others, or for distribution or
division among its members or their guests and the Association will not
maintain any unlawful drinking place or any liquor nuisance contrary to
the Laws of Alabama, and it if does so it is understood that its charter
and rights as a corporation wilt be forfeited.
Article X - Suspension of Expulsion
Section 1 . Any officer may be removed by a TWO-THIRDS vote of the members
in good standing present at any special meeting called for this purpose.
No vote on suspension or removal may take place unless at least FIFTEEN
DAYS notice in writing shall have been given the officer of the reasons
for his removal and of the time and place of the Special meeting at which
such ballot on his removal is to be taken. At such Special meeting the
officer shall be given a full hearing.
Section 2. Any member may be suspended or expelled from the Association
for any cause deemed sufficient by the Board of Directors by a
SEVEN-NINTHS affirmative vote of the members of the Board of Directors
present at any regular or special meeting. No vote on suspensions or
expulsions may be taken unless FIFTEEN DAYS notice in writing shall have
been given to the member of charges preferred and the time and place of
the meeting of the Board of Directors at which such charges will be
considered. At such meeting the member under charges will be accorded a
full hearing.
Section 3. Charges against any officer or member may be preferred by any
member in good standing. They shall be in writing clearly stating the
facts relied upon and accompanied by all affidavits or exhibits which are
to be used in support of such charges. Such charges shall be filed with
the Secretary who shall immediately notify the President. The President
shall call a meeting of the Board of Directors to hear the charges. The
Secretary will give at lease FIFTEEN DAYS notice of the meeting to each
member of the Board of Directors and to the accuser and to the accused,
which notice shall be in writing and will include
a true copy of the charges and the supporting affidavits and exhibits.
Section 4. Any member suspended or expelled by the Board of Directors may
within thirty days appeal to the full membership for reinstatement. Such
appeal shall be made to the Secretary in writing, and the Secretary will
notify the President. Final action on an appeal must be taken not later
than the next regular meeting following the appeal. At the meeting where
the appeal is considered, the Secretary will read the original charges,
the supporting affidavits, and will read or display the accompanying
exhibits, and will read the minutes of the special meeting of the Board of
Directors at which the charges were heard and action taken. A full hearing
will be given the accuser and the accused. A vote will be taken by ballot
of the members in good standing present and a TWO-THIRDS majority vote
will be required to reverse the action of the Board of Directors.
Article XI - Dues
Section 1. Each member shall pay dues for each year from January 1 to
December 31 following, payable on January 2 of each year in advance in
such amount as may be determined by the Board of Directors.
Section 2. Life members shall be exempt from
payment of annual dues.
Section 3. No person shall be in good standing or
be qualified to vote or exercise or be entitled to receive any privilege
of membership, who is in default in the payment of the annual dues thirty
days from the first show of the year.
Section 4. Each member shall receive and shall be entitled to retain,
while he is a member in good standing, a membership card.
Article XII - Meetings
Section 1. There shall be not less than three regular meetings annually;
the time and place to be determined by the Board of Directors.
Article XIII - Transactions
No transactions may take place in a meeting that would be contrary
to local, state or federal laws.

Article XV - Amendments
Amendments may be initiated by any member in good standing, but must be
submitted to the Board of Directors in writing and must be approved by the
Board of Directors before being placed on the agenda for a vote of the
membership. Upon rejection by the Board of Directors, any amendment may be
submitted to the membership for vote upon petition of a simple majority of
the members present at any regular meeting.
